TENTALON LLC — JEWELRY LENDING AGREEMENT

This Jewelry Lending Agreement ("Agreement") is entered into between Tentalon LLC ("Tentalon") and the borrower identified in this form ("Borrower").

1. Loan of Property. Tentalon agrees to loan the jewelry pieces listed herein solely for use in the production or photoshoot described. All pieces remain the exclusive property of Tentalon at all times.

2. Full Liability. Borrower assumes full financial responsibility for all loaned pieces from the time of check-out until confirmed return. In the event of loss, theft, damage, or failure to return any item, the full declared value of that item is immediately due and payable to Tentalon. This obligation survives the termination of this Agreement.

3. Permitted Use. Loaned pieces may not be sub-loaned, sold, pledged, altered, or transferred to any third party. Use is restricted strictly to the shoot described herein.

4. Care & Condition. Borrower agrees to handle all pieces with the utmost care. Any cleaning, repair, or restoration costs arising from the loan period are the sole responsibility of the Borrower.

5. Return. All pieces must be returned to Tentalon in their original condition by the Return Date specified. Failure to return by the Return Date constitutes a material breach of this Agreement and may result in legal action, recovery costs, and all associated fees being charged to Borrower.

6. Security Deposit. Where a security deposit is collected, it will be returned to Borrower upon confirmed receipt and inspection of all loaned items in their original condition. Tentalon reserves the right to apply the deposit toward any repair, replacement, or outstanding balance.

7. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law provisions.

8. Entire Agreement. This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements.
